General Terms and Conditions – ICG Innotiimi 

1. Scope of Application

These general terms and conditions apply to all consulting services agreed upon between ICG Innotiimi and the client, unless otherwise agreed in writing. The terms are attached to the offer or assignment agreement and supersede any procurement terms of the client. 

2. Content and Execution of the Assignment 

The content of the assignment is defined in the offer or a separate agreement. ICG Innotiimi uses its own methods and experts to carry out the assignment. The consultant operates independently and is responsible for the quality of the work. 

The consultant may communicate in various ways using their own or third-party digital solutions, including communication via email, the internet, video, audio, and other online communication tools. The consultant may use digital solutions for collaboration, data management, and data analysis. These cloud-based digital solutions may be supported by artificial intelligence (AI), and they are reviewed to ensure data security and to protect the client’s interests. 

3. Reporting and Cooperation 

ICG Innotiimi reports on the progress of the assignment according to the agreed schedule. The client commits to providing the necessary information and participating in cooperation. The final report is delivered at the end of the assignment, and the client has 14 days to comment. 

4. Fees and Payment Terms 

Fees are determined according to the offer or agreement. The payment term is 21 days net. The interest on late payments is determined according to the Finnish Interest Act. If the client cancels the assignment, ICG Innotiimi has the right to charge for the work already done and the costs incurred. If an event lasting more than 3 hours is canceled less than 2 weeks before the event, ICG Innotiimi has the right to charge half of the event’s price. 

5. Intellectual Property Rights 

ICG Innotiimi retains ownership of all background materials and methods in its possession. The client receives the right to use the results of the assignment. 

6. Confidentiality 

The parties commit to keeping all information received during the assignment confidential. The obligation of confidentiality continues even after the termination of the agreement. 

7. Limitation of Liability 

ICG Innotiimi’s liability is limited to the fee paid for the assignment. The consultant is not liable for indirect damages, such as business interruption or loss of profit. 

 8. Dispute Resolution 

Any disputes will be primarily resolved through negotiations. If no settlement is reached, the dispute will be resolved in the Helsinki District Court. In international assignments, Finnish law applies unless otherwise agreed.
